3. Payment Terms

  • An initial deposit (typically 50% of the project cost) is required before work begins.
  • Remaining payments are due upon agreed milestones or project completion.
  • Payments must be made within 7 days of invoice issuance unless otherwise agreed.
  • Late payments may incur a 5% late fee per week or the maximum allowed by law.
  • All fees are non-refundable unless explicitly stated in the project agreement.

We accept payments via bank transfer, credit card, or other methods specified in the agreement. All prices are in Nigerian Naira (NGN) unless otherwise stated.

4. Intellectual Property

Upon full payment, you will own the rights to the final deliverables (e.g., website design, code) as specified in the project agreement. We retain ownership of:

  • Pre-existing materials, tools, or frameworks used in the project.
  • Any concepts, drafts, or work-in-progress not included in the final deliverables.

You grant us a non-exclusive, royalty-free license to use the final deliverables in our portfolio, marketing materials, or case studies, unless otherwise agreed in writing.

5. Project Revisions and Approvals

Projects include a set number of revisions as outlined in the project agreement. Additional revisions may incur extra charges at our standard hourly rate. You must provide written approval for key milestones (e.g., design mockups, final deliverables). Delays in approval may affect project timelines.

6. Termination

Either party may terminate a project agreement with written notice if:

  • The other party breaches these Terms or the project agreement.
  • Project completion becomes impossible due to unforeseen circumstances.

Upon termination, you will pay for all work completed up to the termination date. No refunds will be issued for deposits or payments made.

7. Warranties and Disclaimers

We warrant that our services will be performed with reasonable care and skill. However, we do not guarantee:

  • Error-free websites or uninterrupted service.
  • Specific results (e.g., SEO rankings, website traffic).

Our services are provided "as is," and we disclaim all other warranties, express or implied, to the fullest extent permitted by law.

8. Limitation of Liability

To the maximum extent permitted by law, NextGen Web Solution will not be liable for any indirect, incidental, or consequential damages arising from our services, including but not limited to loss of profits, data, or business opportunities. Our total liability shall not exceed the amount paid by you for the services.

9. Third-Party Services

Our services may involve third-party tools or platforms (e.g., hosting providers, payment processors). We are not responsible for the performance, availability, or terms of these third-party services. You agree to comply with their terms and conditions.

10. Confidentiality

We will treat all non-public information you provide as confidential and use it only for the purpose of delivering our services. You agree to treat any proprietary information we provide (e.g., project proposals, pricing) as confidential.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Nigeria. Any disputes arising from these Terms or our services will be resolved in the courts of Lagos, Nigeria.
